SCOPE

The Terms and Conditions stated herein apply to the sales of all products by Rufia Lda (hereinafter referred to as “ROYAL STRANGER”). Any attempt to change or add to these Terms and Conditions by a private person, a corporate entity, or a registered company (hereinafter referred to as the “CUSTOMER”), or any conflicting terms on any correspondence, purchase order or other form sent by the customer is hereby objected to and rejected and these Terms and Conditions shall govern on all orders placed by the customer with ROYAL STRANGER. The customer is deemed to have read and agreed to these Terms and Conditions by placing an order, accepting delivery or by making payment hereunder. These Terms and Conditions are subject to change at any time without prior notice.

PRODUCTS

ROYAL STRANGER’s products are individually handmade in Portugal. As a handmade piece, all endeavours will be taken to keep every detail as close as possible to the advertised products; however, by placing an order in accordance to these Terms and Conditions, the customer understands and accepts that slight variations may occur to the received product, including, but not limited to, in color and in size. ROYAL STRANGER does not supply or sell components or parts of its products. The upholstery components and materials are in accordance to the British Standard Regulations. ROYAL STRANGER can satisfactorily meet different international standards and regulations. More information is available upon request via email to info@royalstranger.com. All of ROYAL STRANGER’s technical drawings,
weights, dimensions, descriptions and illustrations contained in the catalogues, price lists or technical material are close approximations only and intended to give a general description of the goods.

MATERIALS AND FINISHES

Finish samples and fabric swatches are only representative of color and texture, and may not match exactly the finish on completed products. Wood, stone and metal materials and finishes may vary in color, veining, tone and character and this is considered to be part of the natural beauty of the raw materials. While ROYAL STRANGER will endeavor to match a finish and/or texture as described in the order, no guarantee can nor will be made of an exact match. Products featuring brass elements will require to be properly cared for and polished over time. Due to the porous nature of the brass, it is common that slight, unavoidable, discrepancies in the metal appear upon production completion. Foundry products and other metalwork may vary in weight due to the nature of these processes. ROYAL STRANGER does not fully guarantee a clear similarity of identical finishes in two or more pieces made in separate orders due to the handmade nature of the process, such as wood carving, metalwork, etc

CUSTOMER’S OWN MATERIAL
(hereinafter referred to as “COM”)

ROYAL STRANGER assumes that all the received COM, fabric or leather, have been inspected by the customer and are ready to be used. Fabrics with patterns and/or shades of color should be sent with indications as to where and how the patterns and colors should be placed on the product. Such fabrics should be sent with indications as to where and how the patterns and colors should be placed on the product. Such fabrics should be send indicating the right and reverse sides together with the top and bottom The leather requirement is based on full hides yielding approximately 55 square feet. Additional leather may be required due to natural irregularities such as shapes or markings. Half hides or calfskins require additional square footage and seaming. As a natural product, leather has imperfections such as scars, wrinkles, bite marks among others which are considered as part of its beauty and should be expected as such. Dye lots vary from time to time. The customer is solely responsible for the fabric and/or leather adequacy for future use on the product. A complete copy of the COM form must be submitted together with the fabric/leather to ROYAL STRANGER in order to avoid any delays due to lack of proper identification. ROYAL STRANGER shall not be responsible for the behavior of any fabric or leather. ROYAL STRANGER does not warrant nor guarantee of any COM. ROYAL STRANGER is not responsible for any defective COM and all fabrics and leathers are deemed to be accepted as goods of first grade quality. ROYAL STRANGER is not responsible for upholstery tailoring variances that result from the application of a particular fabric or leather. All COM deliveries should be send prepaid directly to ROYAL STRANGER with the following information: – Customer’s Name;

– Customer’s # PI Proforma Invoice;

– Any pertinent information regarding the order.

BESPOKE PRODUCTS | SPECIAL ORDERS |
CONTRACT & HOSPITALITY ORDERS

ROYAL STRANGER’s products can be suitable for bespoke or customized versions. Any request for a bespoke product must be made directly to ROYAL STRANGER, who then reserves the right to evaluate whether the referred version may or may not be executed in the requested terms. All bespoke products will only be manufactured upon written confirmation by ROYAL STRANGER. The drawing and technical specs of bespoke products must be approved in writing and signed by the customer. ROYAL STRANGER has the ability to customize existing products or new products to meet contract and hospitality specifications. These orders will be subject to special pricing based on features and quantities. Please contact ROYAL STRANGER for contract and hospitality quotes. All new product designs and interior design projects are subject to a fee of two hundred and fifty (250) euros (€), fully deducted in the order of said products and projects. In specific cases of customization, additional design fees may apply. This will be determined on a case-by-case basis at which time the Customer will be notified of any said fees. All bespoke products, drawings and prototypes are intellectual and industrial property of ROYAL STRANGER. Credits for design, manufacture and handcraft must be given to ROYAL STRANGER.

PRICING

The price of each product is as detailed in the current price list and replaces any previous versions, which must be consulted prior to any order. All prices refer to retail prices and refer to one single unit of a given product only. Prices are in Euros (€) but exclude any taxes, duties any transport costs. ROYAL STRANGER reserves the right to apply VAT to all the relevant situations. Packaging is always included in ROYAL STRANGER prices; however should the customer require specific packaging this will be considered as an extra cost that will be charged accordingly. Please contact ROYAL STRANGER for more information on packaging information.

ACCOUNT AND ORDER TERMS

ROYAL STRANGER requires no minimum order; however products will be handmade according to the customer’s requirements and upon full receipt of the order’s specifications and a pre-payment as per below is confirmed by the bank. All trade accounts must be opened with a valid company or individual tax and invoicing information. In the EU, this information needs to include a valid VAT number validated in VIES. If the company does not have a valid VAT number, the applicable Portuguese VAT (IVA) will be applied to the total amount of the order, as required by the law.

ROYAL STRANGER requires orders to have a 50% of deposit in order to start production and the remainder of the balance settlement prior to shipping from Portugal. ROYAL STRANGER reserves the right to require a 100% payment in advance for first orders. For each order, the corresponding proforma invoice will be sent to the customer through email and confirmation must be given in writing by e-mail. The balance payment is requested approximately two (2) weeks before the estimated date predicted of completion in production. Upon this date, customer has up to ten (10) business days to pay the remaining balance of their outstanding invoice and arrange for shipping of product(s). If the balance remains unpaid after the ten (10) business days grace period, a 5% (five per cent) storage fee will be applied weekly. These 5% (five per cent) will be calculated based on the total invoice amount, not the remaining balance. Orders that accrue storage fees cannot be released until the fees and remaining balance are paid. If the order extends unpaid for eight (8) weeks past the date of final billing, the customer consents to release back the order to ROYAL STRANGER’s stock and the order pre-payment is thus lost. ROYAL STRANGER reserves the right to defer the shipping date until the balance of the order is received. ROYAL STRANGER reserves the right to consider a proforma only valid for thirty (30) days from the day that it is initially sent. If a discount is agreed for the purchase of a certain quantity or typology of pieces in an order, ROYAL STRANGER is not obliged to apply the discount if fewer or different goods, than those previously agreed, are actually ordered. ROYAL STRANGER may postpone any order completion in the case of production problems affecting the quantity or the quality of goods manufactured. Cancellation will not be accepted after 5 (five) business days from the order issue date. A 30% (thirty per cent) restocking fee will be applied to any cancellations received after the order issue date. Changes in ongoing orders, cancellations or returns require prior written approval from ROYAL STRANGER. In every other aspect (delay in providing final specifications, customer’s indecision, loss of projects, etc.) the amount paid to ROYAL STRANGER will not be refunded or credited as credit notes, and the customer will lose any right to the goods.

PAYMENT

Payment for each order shall be made exclusively in Euros by wire transfer to the following bank details: Bank Name Banco Santander Totta S.A. Without the reference of the proforma invoice number, it may take longer to identify pre-payments, which may cause a delay in production.

LEAD TIME

ROYAL STRANGER’s estimated lead time for the products is between 8 to 10 weeks after having received the payment of the deposit. ROYAL STRANGER reserves the right, without prior notice, to change the production lead time. Lead time for COM orders do not begin until all fabric and/or leather arrive and are properly identified by ROYAL STRANGER. ROYAL STRANGER is not responsible for any delays in production or any fabric/leather misuse if the material is sent without identification by the customer. For products with custom specifications, or orders of large quantities, orders presented during a period of ROYAL STRANGER’s production overload, or during any other production contingency that may affect the standard lead time, ROYAL STRANGER reserves the right to propose and agree with the Customer a different lead time, on a case by case basis. Speeded production lead time is available with a rush fee upon request to info@royalstranger.com. For special orders or large quantities orders, ROYAL STRANGER reserves the right to agree with the purchaser on a lead time. Delivery time is not included in the lead time above. ROYAL STRANGER reserves the right to, without prior notice, change the production lead times above.

SHIPPING AND DELIVERY

All orders placed with ROYAL STRANGER are ex-works, therefore, collection and shipping of the goods are organized at the customer’s responsibility. When on behalf of the customer, the loading, transport, logistics, customs clearance, insurance, unloading or installation of the piece at the place of destination is the entire responsibility of the Customer. ROYAL STRANGER will be free of any charges or responsibility over events, loss, or any and all damages, during or after transport or installation. ROYAL STRANGER’s responsibility is limited to the preparation of the goods and ends at the moment of collection. ROYAL STRANGER may provide transport with an additional cost upon request. Shipping services are charged in a separate proforma, apart from product orders, considered valid for ten (10) days only. When on behalf of ROYAL STRANGER, all endeavors will be conducted so that a transport service is carried out as swiftly as possible; however ROYAL STRANGER cannot guarantee transit times as the transport will be assured by an external forwarder and thus ROYAL STRANGER cannot be held responsible for any such delay. When shipping is arranged by ROYAL STRANGER, the service will be exclusively door to door, meaning that the transporter will unload the goods at the customer’s address door, at street level (will not enter the building or climb stairs). When organized by ROYAL STRANGER, a correct delivery address for the transport should be indicated at the time of acceptance of the service. Changes in delivery address or additional services for the delivery (such as access to heavy duty truck) may incur in transport cost surcharges, to be paid by the customer.

DAMAGE CLAIMS

All the products are carefully packed and are subject to a full inspection prior to shipment. At the time the products are picked up by the purchaser’s carrier, the title passes to the purchaser. Risk of damage or loss shall be on the purchaser from the time of the delivery of the products contained in the order to the carrier in Portugal until its delivery to the purchaser. ROYAL STRANGER is not responsible for a customer’s own or third party freight damage and claim. In these cases, ROYAL STRANGER will endeavor to find a suitable solution with the customer. When responsible for the transport service, ROYAL STRANGER strongly advises the customer to verify the goods upon delivery for perceptible damages on the packages and, then, to verify all crates/boxes in order to check for any nonconformities in the conditions of the goods. The refusal of damaged products in no way relieves the costumer of the responsibility for paying the goods. Should visible or concealed damage occur in transit, the customer must immediately notify the delivering carrier with initial notification of intent to file a claim. Failure to report concealed damage within fifteen (15) days of receipt of the goods will result in the denial of the claim. Any damage should also be communicated to ROYAL STRANGER during the first forty eight (48) hours after receiving the order and sent via email to info@royalstranger.com. All claims must be accompanied by photographic or video evidence that support the customer’s complaint, in which all products, correspondent crates/boxes and issues claimed are clearly visible, and a written detailed description. The original packaging of the products must be kept. In case a claim is submitted, the packaging must be kept during the period in which the claim is settled. If the collection or return of any item is needed and the original packaging was not kept, the customer shall be responsible for all costs and procedures necessary for the item to be in shipping conditions. ROYAL STRANGER shall not be liable in any way for the replacement, acquisition, or any other costs related with the replacement of the original boxes or crates. Damaged products being returned must be in the condition in which they were received by the customer. The products must be well accommodated to avoid extra damages. The customer must not attempt to modify, handle, install or repair them. ROYAL STRANGER will endeavor to propose a solution to the customer within five (5) business days of the claim registration. ROYAL STRANGER reserves the right to refuse any item repairing, pick-up or delivery, from any location other than the original destination address. Any transportation of the product from destination to a different location will forfeit any transportation damage claim. ROYAL STRANGER’s reserves the right to decline responsibility if: a) The claim is presented after the forty eight (48) hours period, or is not accompanied by the mandatory information; b) The claimed products were altered out or any way tampered with, either by the customer or by a third party, without ROYAL STRANGER’s consent; c) The products show clear signs of regular use. The refusal of damaged merchandise in no way relieves the customer of the responsibility to pay for the order.

RETURN AUTHORIZATION

ROYAL STRANGER operates a no refund policy. No returns of an order will be accepted without prior written consent from ROYAL STRANGER. Any unauthorized returns will be refused and returned to the purchaser at the customer’s expense. If a return is accepted by ROYAL STRANGER after a claim to the carrier is made by the customer, ROYAL STRANGER will endeavor to repair or replace the products and charge the customer for it.

WARRANTY 

ROYAL STRANGER warrants and guarantees that all products are free of defect in material and workmanship for a period of two (2) years from the date of the final invoice. The warranty does not include fabric or leather provided by the Customer or components not manufactured by ROYAL STRANGER, such as bulbs on lighting products. The warranty does not cover second purchasers of the products nor distressed products by display use or display samples. ROYAL STRANGER’s warranty applies under conditions of normal use and excludes damages caused by misuse, mishandling and/or excessive wear, or those resulting from humidity or fading caused by exposure to excess light or heat, soiling, improper cleaning, abnormal use or accident. Products experience ageing that may vary depending on exposure to light, heat, natural wear and tear and their conservation by Customers. While ROYAL STRANGER endeavours to provide the most adequate suggestions for proper usage and conservation of the products, their correct usage and conservation is sole responsibility of the Customer. Complaints about clear and evident quality defects received by ROYAL STRANGER within the above mentioned warranty period, shall be analyzed by ROYAL STRANGER. If the product is deemed defective after analysis, ROYAL STRANGER will repair, restore or replace the product, following this order and upon agreement with the customer. ROYAL STRANGER is not considered responsible for the following: damage caused by improper cleaning solutions or methods, damage caused by improper installation or assembly by the customer or customer’s agent, damage to lamps, parts of lamps or lampshades, caused by improper use of light bulbs, damage caused by exposure to weather or improper environment, any costs of installation, removal or re-installation, restoration or repair work, any parts purchased in separate from lamps.

INTERNET AND DISTRIBUTION POLICY

Dealer internet websites may neither advertise, nor in any way display the ROYAL STRANGER’s name, logo, product images or any other property company emblems or information without prior written consent from the company. Please contact ROYAL STRANGER for further company guidelines on internet usage. ROYAL STRANGER reserves the right not to sell, or continue to sell, to any dealer whose distribution or sales tactics result in a negative effect on the ability to compete and sell into a region.

FORCE MAJEURE 

All quoted completion and delivery dates are estimates only. ROYAL STRANGER shall not be liable for delays in completion, shipment, or default in delivery for any reason of force majeure or for any cause beyond ROYAL STRANGER’s reasonable control including, but not limited to, (a) government action, war, riots, civil commotion, embargoes or martial laws, (b) workshop’s inability to obtain necessary materials from its usual sources of supply, (c) shortage of labor, raw material, production or transportation facilities or other delays in transit, (d) labor difficulty involving employees of workshop or others, (e) fire, flood or other casualty, or (f) other contingencies of manufacture or shipment.

ERRORS, INACCURACIES AND OMISSIONS

In the case of typographical errors, inaccuracies or omissions that may relate to product descriptions, finishes, pricing, promotions, offers, product shipping charges, transit times and availability, ROYAL STRANGER reserves the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders. If any information is inaccurate, these corrections may occur at any time without prior notice. All efforts have been made by ROYAL STRANGER to accurately photograph the finishes and colors of products. Slight variations can sometimes occur between the photographic representation and the actual product.

INTELLECTUAL PROPERTY 

ALL RIGHTS RESERVED.

No ROYAL STRANGER product may be duplicated, copied, published and/or used for any commercial, marketing or advertising activity, reproduced, distributed, or transmitted in any form or by any means, including prototyping, 3D drawings, or other electronic or mechanical methods, without the prior written permission by ROYAL STRANGER. UPDATES

We reserve the right, without prior notice, to discontinue products or change specifications and prices on products.

ENTIRE AGREEMENT

These Terms and Conditions constitute the entire agreement between ROYAL STRANGER and the customer and supersede any previous agreements, discussions, understandings or correspondence in relation to any order.

GOVERNING LAW 

These Terms and Conditions and any orders made pursuant to them are governed by, and shall be interpreted in accordance with, the Portuguese Law.
